Regulatory Status

Coinsolation Holding Inc. (“CHI”) is a Delaware corporation that serves as the holding company for the Coinsolation group.

Coinsolation Advisors LLC (“Coinsolation Advisors”) is a Delaware limited liability company that provides investment advisory and related services primarily to private funds and other eligible investors. Coinsolation Advisors operates as an exempt reporting adviser (“ERA”) under the U.S. Investment Advisers Act of 1940 and files the required reports with the U.S. Securities and Exchange Commission (“SEC”) and, where applicable, with relevant state securities regulators. Exempt reporting adviser status means that Coinsolation Advisors is not registered as an investment adviser with the SEC but is subject to certain reporting, recordkeeping, and other obligations.

Coinsolation International Ltd is a Mauritius-domiciled entity applying to be authorised as an Expert Collective Investment Scheme (“ECIS”) and to operate under the supervision of the Financial Services Commission, Mauritius, for eligible investors only.

Neither the SEC, the Financial Services Commission, Mauritius, nor any other securities regulator has approved or endorsed Coinsolation Holding Inc., Coinsolation Advisors LLC, Coinsolation International Ltd, any of their affiliates, or any strategy, security, vehicle, or service described on this website, nor have they passed upon the accuracy or adequacy of any information on this website. Any reference to registration, exempt reporting adviser status, or regulatory authorisation does not imply a certain level of skill or training on the part of any firm or its personnel.

Jurisdiction and investor eligibility

The strategies described on this website are expected to be implemented through one or more private funds advised or sponsored by Coinsolation Advisors LLC and through one or more Mauritius-domiciled Expert Collective Investment Schemes (“ECIS”) issued by Coinsolation International Ltd and authorised and supervised by the Financial Services Commission, Mauritius. Subject to limited exceptions, such interests may not be offered, sold, or delivered, directly or indirectly, within the United States or to, or for the account or benefit of, any “U.S. person” (as defined in Regulation S under the Securities Act).
